AI Contract Overview
The Dallas Area Rapid Transit Authority is soliciting bids for the procurement of bolts, nuts, and washers under solicitation numbers 2094423, 2094424, and 2094572. This procurement is managed through the Bonfire portal, with a response deadline of August 13, 2025. The scope of work requires the delivery of supplies that meet merchantable quality standards and strict adherence to manufacturer part numbers and technical specifications. Performance will take place within the state of Texas, and the Authority emphasizes that the time and rate of deliveries are of the essence, with failure to meet schedules serving as grounds for rejection or termination for default. Contractual terms mandate FOB Destination shipping, meaning freight costs must be included in the overall price and the seller retains risk of loss during transit. Payment is issued Net 30 days from the receipt of the invoice or the order, whichever is later, with invoices required to be submitted in triplicate to a designated email address. Sellers must comply with several specific certifications, including a prohibition on boycotting Israel, a commitment to equal opportunity for minority- and women-owned subcontractors, and strict adherence to conflict of interest policies regarding public officials. The agreement is governed by Texas law and allows the Contracting Officer to terminate the order for either default or convenience.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
