AI Contract Overview
The Dallas Area Rapid Transit Authority is soliciting bids for the overhaul of a KIT-DRYER-E-1A under solicitation number 2099035, with bids due by May 29, 2026. All submissions must be made through the Bonfire portal after registering and initiating the “Prepare Your Submission” process, as access to detailed pricing and vendor response fields requires platform authentication. The contract is structured around standard purchase order terms and conditions, emphasizing FOB Destination shipping with freight costs included in the bid price; FOB Origin and Prepay and Add terms are not accepted. Delivery schedules are critical, and failure to meet specified timelines may result in termination for default, with the vendor liable for reprocurement costs. Payment is Net 30 days from receipt of the invoice or order, whichever is later, and invoices must be submitted in triplicate to [email hidden], with one copy clearly marked as “Original,” containing all required details such as purchase order number, item specifics, quantities, unit prices, and extended totals. The Authority retains the right to inspect and accept deliveries at the destination, requiring all items to conform strictly to specifications, drawings, and manufacturer part numbers, and to be of merchantable quality. Vendors must exclude Texas sales and use taxes from invoices due to DART’s tax-exempt status. The contract includes mandatory certifications affirming non-participation in any boycott of Israel, absence of ties to foreign terrorist organizations, and no financial interest by public officials. Equal employment opportunity principles are required, with an expectation to extend opportunities to minority and women-owned businesses in subcontracting. Termination for convenience is reserved by DART, and subcontracting requires prior written approval. Warranty, indemnification, limitation of liability, and force majeure clauses are included, with no consequential damages permitted. No packaging, marking, or preservation standards are specified beyond ensuring invoice and order number consistency. There is no stated contract value, evaluation criteria, or formal award methodology disclosed, and no use of government invoicing systems like WAWF or IPP. All administrative functions, including contract administration and point of contact, are centralized through the provided email, with no named contracting officers or CORs identified.

--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
