AI Contract Overview
This solicitation, identified by number 2100636, is issued by the Dallas Area Rapid Transit Authority (DART) for the procurement of Module SM 331,8 CH, U/I, 16 BIT, AI. The procurement process is conducted electronically through the Bonfire portal, with a response deadline of August 28, 2026. While the specific contract value and detailed line-item pricing are restricted to registered users within the Bonfire BidTable, the solicitation appears to follow a firm-fixed-price structure. All bids must adhere to FOB Destination shipping terms, with freight costs included in the total price, as DART does not typically accept FOB Origin or Prepay and Add terms. The contract is governed by DART's specific Purchase Order Terms and Conditions and Texas state law, with legal venue set in Dallas County. Key performance requirements include strict adherence to delivery schedules, as time and rate of deliveries are considered of the essence; failure to meet these timelines may result in rejection or termination for default. Payment is issued on Net 30 terms following the receipt of a proper triplicate invoice. Sellers are subject to various compliance mandates, including equal opportunity employment, restrictions on the assignment of contracts without consent, and specific certifications regarding non-participation in the boycott of Israel and no ties to foreign terrorist organizations. Additionally, the seller must warrant that no public official of the Authority has a financial interest in the contract.

--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
