AI Contract Overview
The procurement solicitation numbered 2099008 issued by the Dallas Area Rapid Transit Authority (DART) seeks the supply of a specific resistor component referenced as Frame 1, Part Number 1654E46G01, under a purchase order framework governed by DART’s internal Terms and Conditions. All bids must reflect FOB Destination shipping terms with freight costs fully included in the quoted price, as DART does not accept FOB Origin or Prepay and Add arrangements. Delivery timelines are strictly enforced, with failure to meet specified schedules constituting grounds for default termination. Payment is governed by Net 30 terms, with invoices required to be submitted in triplicate to [email hidden], clearly stating the purchase order number, item number, description, quantities, unit prices, and extended totals; payment will be processed no earlier than 30 days after receipt of the invoice or the order, whichever is later. Partial deliveries may be accepted and invoiced independently if they meet the Authority’s acceptance criteria. The Seller is obligated to provide items that conform strictly to manufacturer specifications and are of merchantable quality, suitable for their intended use, and warrantied under the Seller’s most favorable commercial terms. Inspection and acceptance occur at the destination, with DART retaining authority to reject non-conforming supplies. The contract includes mandatory certifications prohibiting participation in foreign boycotts of Israel and association with designated Foreign Terrorist Organizations. The Seller must also comply with equal opportunity obligations, including affirmative action in hiring and subcontracting, and must not bill DART for sales or use taxes, as the Authority is tax-exempt. The contract is non-assignable without written consent, and termination may occur either for default due to performance failure or for convenience at DART’s discretion, with compensation limited to incurred costs and commitments for the latter. The solicitation is accessible exclusively through the Bonfire platform, requiring registration and initiation of the submission process to view detailed bid tables, with responses due by May 14, 2026. No formal evaluation factors, contract type designation, or federal acquisition regulation clauses are included; all terms derive from DART’s proprietary procurement policies.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
