AI Contract Overview
The Dallas Area Rapid Transit Authority is soliciting bids for a power converter under solicitation number 2100940. Due to the urgency of the requirement, the award will be determined based on a combination of price and lead time. The solicitation is hosted via Bonfire, and interested vendors must register on that platform to access the bid table and submit their responses by the deadline of October 16, 2026. The contract is governed by the Authority's proprietary purchase order terms and conditions rather than standard FAR clauses. Key requirements include FOB Destination shipping terms with freight costs included in the price, as the Authority does not typically accept FOB Origin or Prepay and Add terms. Delivery timing is critical, and failure to meet specified rates or times may result in rejection or termination for default. Payment terms are Net 30, with invoices paid 30 days from the receipt of the invoice or the order, whichever is later. Vendors must comply with several certifications and representations, including certifying that they do not boycott Israel, are not associated with foreign terrorist organizations, and have not provided gratuities to Authority officials. Additionally, the Seller must adhere to equal opportunity employment standards and acknowledge that the Authority is exempt from Texas state and local sales and use taxes. Inspection and acceptance of the goods will occur at the destination.

**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12.
