AI Contract Overview
The Dallas Area Rapid Transit Authority is soliciting bids for a bidirectional oil and air compressor for its fleet under solicitation number 2099205, with a response deadline of May 22, 2026. All submissions must be made through the Bonfire platform, and access to detailed pricing and line-item information requires pre-registration and use of the in-browser BidTable tool. The contract is governed by DART’s proprietary terms and conditions, which include FOB Destination shipping requirements meaning freight costs must be included in the quoted price, and delivery dates are strictly enforced with default termination possible for any failure to meet scheduled timelines. The place of performance is Texas, with inspection and acceptance occurring at the destination point. Payment terms are Net 30, with invoices required in triplicate—submitted electronically to [email hidden]—and must include precise details such as PO number, item description, quantities, unit and extended prices. The seller must warrant that all supplied items are of merchantable quality and suitable for intended use, conforming to manufacturer specifications and technical drawings. The contract includes several critical certifications required of the vendor, including a certification that the seller does not boycott Israel and is not linked to any foreign terrorist organization designated by the U.S. State Department, with violations potentially leading to contract termination and federal reporting obligations. DART is tax-exempt under Texas law, and vendors must exclude sales and use taxes from invoices. Subcontracting efforts are expected to support equal opportunity for minority- and women-owned businesses, and the vendor must avoid any gratuities or conflicts of interest involving DART personnel. The contract is governed by Texas law and any disputes must be litigated in Dallas County. No formal evaluation factors, contract type classification, or estimated value is disclosed due to the lack of accessible BidTable data, though the procurement appears structured as a fixed-price acquisition. No detailed packaging, labeling, or MIL-STD requirements are specified, and no CAGE, UEI, or small business representation is requested. The Contracting Officer holds sole authority over inspection, acceptance, changes, and termination, and while a Contracting Officer’s Representative is not named, the authority to modify or terminate the contract rests exclusively with the designated contracting officer.

--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
