AI Contract Overview
This procurement solicitation, identified by number 2099150 and issued by the Dallas Area Rapid Transit Authority (DART) in Texas, requires vendors to submit bids through the Bonfire portal, with access to detailed specifications and response fields granted only after initiating the Prepare Your Submission process. All bids must adhere to FOB Destination shipping terms, with freight costs included in the quoted price, and FOB Origin or Prepay and Add terms are explicitly not accepted. Delivery performance is critical, with failure to meet specified timing and rate constraints constituting grounds for rejection and termination for default. Payment is governed by Net 30 terms, with invoices required to be submitted via email to [email hidden] in triplicate, one marked Original, and must include the purchase order number, item details, quantities, unit and extended prices, and any applicable descriptions. The authority retains the right to inspect and accept goods at the destination, with final acceptance resting solely with DART, and goods must conform to all technical specifications, drawings, manufacturer part numbers, and meet standards of merchantable quality and fitness for intended use. The contract includes standard operational clauses covering delivery, changes, inspection, warranties, payment, invoicing, and termination for both default and convenience, but lacks specific FAR clause identifiers and most formal fill-ins, instead relying on general placeholders such as “as agreed in writing” or “unless otherwise specified.” A unique and mandatory requirement is the certification that the vendor and its affiliates do not boycott Israel, aligning with Texas state law and potentially triggering federal compliance obligations. No formal evaluation factors, weights, or award methodology are stated, suggesting award may be based on responsiveness and compliance rather than a structured scoring system. The place of performance is statewide in Texas, with no specific delivery locations identified, and no packaging, marking, or subcontracting approval provisions are detailed. All submissions must be made electronically through Bonfire by the deadline of May 12, 2026, and no physical proposals or alternative submission methods are accepted. DART is exempt from Texas sales tax, and no accounting codes, appropriation data, or named contracting officers or representatives are provided, indicating a reliance on centralized administrative processes and standardized contractual terms under Texas jurisdiction.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
