South Western Railway Limited has entered into a direct award agreement with Cubic Transportation Systems Limited for the commissioning, ongoing maintenance, and operation of automatic passenger gate lines across South Western Railway and Network Rail stations. The arrangement consists of three distinct contracts signed in September 2025: two six-year terms covering London Waterloo and inboundary stations, and one three-year term for outboundary stations. These agreements include comprehensive service level agreements that define operational criteria for gating, barcode readers, and back office support, while establishing specific performance indicators and abatement calculations to ensure service quality. The contractual framework includes a Major Incident Management escalation process to handle technical failures and a requirement for the supplier to enter into a direct agreement with the Secretary of State. This provision allows the Secretary of State to call for a new contract for up to three years if the primary services agreement between the contracting authority and the government terminates or expires. Additionally, the contract permits the transfer or sub-letting of the agreement to certain third parties, which is classified as a permitted modification.

The direct agreement permits the Secretary of State to call for a New Contract in the event of the termination or expiry of the contracting authority's services agreement with the Secretary of State. The duration of the New Contract would typically be up to 3 years and the terms of the New Contract and the circumstances in which the direct agreement can be relied upon are all unambiguously set out in the direct agreement. In the event that either the contract is transferred or sub-let to a third party or a direct agreement is relied upon by the Secretary of State, it is considered that this would be a permitted modification provided for in the contract.
