The Securities and Exchange Commission (SEC) plans to award a sole source contract to Thompson Financial for historical and current insider transactions and holdings data in electronic format. This data will cover insider transactions and holdings reported on Forms 3, 4, 5, and 144, as well as supplemental proxy statement data, providing detailed information on securities holdings of directors, officers, and 10% shareholders of registrants. The data set includes open market equity transactions, option exercises and conversions from January 1986 to the present, open market derivative transactions from January 1996 onward, and details on proposed sales of restricted securities under Rule 144 since June 1996. Additionally, the contract will provide stock performance metrics following insider transactions, such as average returns over three and six months and historical insider buy and sell decisions, along with company identification information like name, ticker symbol, sector, and industry. The SEC considers Thomson Financial the only provider capable of meeting its requirements and thus intends to award the contract without competitive solicitation. Although this is a notice of intent rather than a formal solicitation, other organizations may submit capability statements and qualifications, though consideration is not guaranteed. The initial period of performance is one year from award, with the possibility of multiple option years. The contracting officer for this procurement is Sandy A. Wright, and the contract will be managed out of the SEC’s Washington, DC office. No further information will be released concerning this sole source procurement.
