AI Contract Overview
The Dallas Area Rapid Transit Authority is seeking bids for a 12V 160AH battery in a steel case under solicitation number 2099271, with responses due by May 22, 2026. All bids must reflect FOB Destination shipping terms with freight costs included in the quoted price, as DART does not accept FOB Origin or Prepay and Add terms. Delivery timing and rate are critical to this order, and failure to meet specified delivery schedules constitutes grounds for default termination. Payment is strictly Net 30, calculated from the later of invoice receipt or order receipt, and invoices must be submitted electronically to [email hidden] in triplicate, with one copy clearly marked “Original,” including the purchase order number, item number, quantities, unit and extended prices, and full description of supplies. The contract requires compliance with Texas state laws, including certifications that the vendor is not associated with Foreign Terrorist Organizations and does not participate in any boycott of Israel. DART is exempt from Texas sales and use taxes, so taxes must not be included in invoices. The vendor must warrant that all supplies are of merchantable quality and suitable for their intended use, conforming to the specified product description and applicable commercial standards, with final inspection and acceptance occurring at the destination. The contract prohibits assignment without prior written consent from the Contracting Officer and mandates that no DART public official has a financial interest in the award. Vendor responses must be submitted exclusively through the Bonfire portal after registration, as detailed pricing and line-item information are contained within a restricted BidTable not accessible without authentication. No specific packaging, labeling, MIL-STD, or socioeconomic certifications are required, and no evaluation factors or contract type (e.g., FFP, IDIQ) are explicitly stated in the provided documentation.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
