AI Contract Overview
The Dallas Area Rapid Transit Authority is soliciting a single-cell 685AH battery under solicitation number 2099270, with a response deadline of May 22, 2026. All bids must adhere to FOB Destination shipping terms, with freight costs included in the quoted price; FOB Origin and Prepay and Add terms are not accepted. Delivery timing and rate are critical, and failure to meet specified delivery schedules may result in rejection or default termination. Payment is Net 30, with invoices required to be submitted via email to [email hidden] in triplicate—one marked as original—containing the purchase order number, item description, quantities, unit prices, and extended totals. Payment will be made 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later. The product must meet merchantable quality standards, be fit for intended use, and conform to manufacturer part numbers and technical specifications, with acceptance occurring at the destination in Texas. The contract includes broad clauses covering delivery, inspection, warranties, termination for cause or convenience, indemnification, insurance, and limitations of liability. Termination for default may be exercised for non-performance, with liability for reprocurement costs, unless the failure was beyond the seller’s control. A certification regarding non-participation in the boycott of Israel and compliance with Texas prohibitions on contracting with entities linked to foreign terrorist organizations is required. The solicitation mandates submission exclusively through the Bonfire portal using the BidTable interface, with no physical or hardcopy submissions permitted. No contract value or pricing details are disclosed without registration, and no formal evaluation factors, weights, or scoring criteria are published. Packaging, marking, labeling, barcoding, or preservation requirements are not specified beyond general shipping compliance. The governing law is Texas state law, and the contract applies to all supplies delivered within the state. No key personnel, security clearances, options, or organizational conflict of interest clauses are included. All information necessary for submission, including detailed bid tables and supporting documentation, is accessible only after initiating the “Prepare Your Submission” process on the Bonfire platform.

**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
