Central Federal Lands plans to establish a sole-source, fixed-price Blanket Purchase Agreement with Title Guaranty Escrow Services, Inc. to facilitate acquisition services related to right of way land easements required for multiple bridge construction projects in Hawaii. This action follows a prior subcontract arrangement under an indefinite delivery, indefinite quantity contract where Title Guaranty provided right of way acquisition support. The agreement will enable Title Guaranty to complete conveyance document closings and compensation payments to landowners on behalf of the Hawaii Department of Transportation, expediting the acquisition process to meet project timelines. The decision to sole source is based on Title Guaranty’s unique expertise, ongoing involvement, and knowledge of the project, which helps the government avoid delays and excessive costs that could result from engaging a new provider. The contract will be issued as a base plus four option year agreement under FAR Part 12, utilizing simplified acquisition procedures for commercial items. The statutory basis for this non-competitive procurement is due to there being only one responsible source capable of meeting the agency’s requirements and ensuring continuity of service critical to the project. Although other companies may offer escrow services, transitioning to a different provider at this juncture would be inefficient and disruptive. The BPA will support timely execution of easement compensations to advance several bridge projects managed by FHWA's Central Federal Lands Highway Division in coordination with the Hawaii Department of Transportation. This notice serves informational purposes only and is not a solicitation.

Central Federal Lands intends to issue a single sole-source FFP Blanket Purchase Agreement (BPA) with Title Guaranty Escrow Services, Inc. (herein Title Guaranty), DUNs 077665750/CAGE Code 38TW1 to provide acquisition services including payments, supporting execution of right of way land easements. The land easements are necessary to support new construction of several bridge projects in the State of Hawaii per executed Memorandum of Agreement between the FHWA Central Federal Lands Highway Division, FHWA Hawaii Division, and the Hawaii Department of Transportation. Title Guaranty was subcontracted through a previously awarded IDIQ contract with the CFLHD to provide right of way acquisition services. As necessary to complete execution of the conveyance documents, on behalf of the Hawaii Department of Transportation, conveyance document closing and compensation payment to landowners is yet to be completed. Given the time sensitivity with execution of the conveyance documents, the Government is electing to sole source a contract directly with Title Guaranty as necessary to complete the acquisition services while ensuring that the best interest of the Government is satisfied. Though other companies can provide escrow services, at this stage in development of the conveyance documentation, obtaining these capabilities from other sources would be repetitive of previously completed work resulting in undue delays and excessive costs to the Government. The specific knowledge and technical competence of Title Guaranty will satisfy the Government's requirement to advance easement execution to conclusion while maintaining continuity with Title Guaranty's previous efforts and experience on this project. The statutory authority permitting the acquisition of this requirement by other than full and open competition is 41 U.S.C. - 253(c)(1); Only one responsible source and no other supplies or services will satisfy agency requirements. The Federal Acquisition Regulation (FAR) citation is 13.106-1(b)(2), and pursuant to FAR subpart 13.5 titled "Simplified Procedures for Certain Commercial Items." This BPA requirement will be issued as a base plus 4 option year agreement using FAR Part 12. This notice of intent to sole source is for informational purposes only in accordance with FAR 5.201 and not a request for quotes; therefore, no solicitation document exists for this procurement.
