Intellectual Property (IP) Rights Management & Indemnification

All deliverables created under this contract are the sole property of the County, which retains full ownership of any intellectual property developed, including but not limited to reports, software, data, designs, and documentation. The contractor grants the County a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and distribute all materials without restriction. The contractor agrees not to assert any rights or claims over the deliverables and must provide all necessary documentation and assistance to ensure seamless transfer of ownership. The contractor also indemnifies the County against any claims of intellectual property infringement arising from the contractor’s work, including third-party disputes, and assumes full responsibility for defending, settling, or paying any resulting damages, costs, or legal fees. This obligation extends to any materials, tools, or methodologies used in the performance of the contract, ensuring the County is protected from liability related to proprietary content or unauthorized use of third-party assets.
