On November 29, 2016, Booz Allen Hamilton Inc. announced its agreement to acquire eGov Holdings, Inc., operating as Aquilent, the current contractor managing the Navy's SeaPort portal system. Due to potential concerns about Organizational Conflicts of Interest (OCI) arising from this acquisition, the Navy, with cooperation from both Aquilent and Booz Allen, implemented measures to maintain the integrity of the SeaPort portal and address any actual or perceived OCI risks. To mitigate these concerns, Aquilent divested all personnel, data, code rights, and related assets associated with the SeaPort portal to Octo Consulting Group prior to the completion of the acquisition. Octo assumed full control of the SeaPort contract through an interim operating agreement and an OCI mitigation plan, maintaining strict separation—physical, financial, operational, and electronic—from both Aquilent and Booz Allen. The Navy has confirmed that this divestiture and the associated mitigation efforts effectively prevent Booz Allen from gaining unequal access to sensitive information. Aquilent has certified that all SeaPort data was removed from its systems, and Booz Allen has never accessed this data. These actions ensure the security and continuity of the SeaPort portal during the transition, preserving fair competition and government confidence. For additional inquiries, the Navy designated points of contact are Stacy M. McQuage, the SeaPort MAC Contracting Officer, and Susan Tomaiko.

Full Description

On 29 November 2016, Booz Allen Hamilton Inc. (Booz Allen) publicly announced it had entered into an agreement to acquire eGov Holdings, Inc. (d/b/a Aquilent). Aquilent is the current SeaPort portal system contractor. The Navy is committed to avoiding and mitigating any actual or perceived Organizational Conflict of Interest (OCI) that may arise from the Aquilent SeaPort portal support contract. As detailed below, the Navy, with the full cooperation of Aquilent and Booz Allen, has taken the following steps to ensure the continued integrity of the SeaPort portal system and alleviate any concern from both SeaPort Government users as well as SeaPort vendors of any actual or potential OCIs this acquisition may have raised. In order to avoid and ensure that there is no perception of OCI, Aquilent has worked with the Government to fully divest the people, data, code rights, and associated assets to a third party prior to the close of the Aquilent / Booz Allen transaction. That third party is Octo Consulting Group (Octo) of McLean, VA. Under an interim operating agreement and an OCI mitigation plan pending novation, Octo has assumed full control of the SeaPort contract while maintaining complete physical, financial, operational, and electronic separation from both Aquilent and Booz Allen. The Navy has determined that the divestiture and the associated OCI mitigation plan and interim operating agreement effectively mitigate Booz Allen's potential for unequal access to information. Aquilent has cleansed its system of all SeaPort data and Aquilent has certified this in writing to the Government. At no time has Booz Allen had access to the underlying SeaPort data and the Government is confident that the mitigation actions ensure that Booz Allen will not receive such access pending novation. Every effort has been made to protect the integrity of the SeaPort portal and also to ensure a seamless transition. For any questions or concerns, please contact Stacy McQuage at stacy.m.mcquage@navy.mil or Susan Tomaiko at susan.tomaiko@navy.mil
