AI Contract Overview
The Dallas Area Rapid Transit Authority is soliciting bids for the procurement of an external shunt, part number PM-9267, under solicitation number 2098282. This is a firm-fixed-price purchase order requiring all bids to be submitted electronically via the Bonfire portal by March 23, 2026. Detailed pricing, quantities, and item specifications are located within the portal's BidTable. The contract mandates FOB Destination shipping terms, meaning freight costs must be included in the overall price, as the Authority does not accept FOB Origin or Prepay and Add terms. Performance is strictly tied to the time and rate of delivery, which are considered of the essence; failure to meet these schedules may result in rejection or termination for default. Payment terms are Net 30, with invoices submitted in triplicate to a designated email address. The seller must certify compliance with Texas state laws, including non-participation in the boycott of Israel and absence from the Texas Comptroller’s list of entities associated with foreign terrorist organizations. Additionally, the Authority is tax-exempt, and the seller must ensure no taxes are charged on the transaction. Final inspection and acceptance of all supplies will occur at the destination in Texas.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
