The Naval Air Systems Command is pursuing a sole-source delivery order under Basic Ordering Agreement N00019-23-G-0001 with ELBITAMERICA, INC. to redesign the Integrated Avionics Processor (IAP) for the V-22 Osprey fleet and produce test assets for demonstration and qualification. The current IAP suffers from obsolescence in key components—the PCI Bridge and Ethernet Switch within the Display Processing Module—and processing limitations in the Map Processing Module that degrade system performance. The redesigned IAP must serve as a form, fit, and functional replacement while maintaining full backward compatibility across all MV, CV, and CMV-22 aircraft variants. The effort falls within the scope of the existing basic agreement for design, manufacture, assembly, and testing of V-22 components and associated engineering data. This procurement is being awarded without competition under FAR 6.103-1 because ELBITAMERICA, INC. is the original equipment manufacturer of the IAP and is the only source with the proprietary technical data, specialized expertise, and access to necessary design information required to perform the work within the required timeframe. The government lacks the data and capability to execute the redesign internally or through another vendor. While this is a presolicitation notice with a response deadline of July 28, 2026, it is not a competitive solicitation; any submissions from other parties will be considered only to determine whether competition is feasible, and the government retains full discretion to proceed with sole-source award. The principal point of contact is Samantha Barbaris, with subcontracting inquiries directed to Clayton Cox at ELBITAMERICA, INC. The place of performance is Fort Worth, Texas.

The Naval Air Systems Command (NAVAIR), V-22 Joint Program Office (PMA-275) intends to negotiate and issue a Delivery Order under Basic Ordering Agreement (BOA) N00019-23-G-0001 to ELBITAMERICA, INC., 4700 Marine Creek Pkwy, Fort Worth, TX 76179 on a sole source basis for:

Engineering redesign of the Integrated Avionics Processor (IAP) and the production of test assets for demonstration and qualification. The current IAP is facing obsolescence issues with the Peripheral Component Interconnect (PCI) Bridge and the Ethernet Switch within the Display Processing Module (DPM) as well as processing limitations that impact equipment performance within the Map Processing Module (MPM). The redesigned IAPs shall be a form, fit and functional replacement to the legacy IAPs and shall be fully backwards compatible to all MV/CV/CMV-22 Osprey Aircraft. The Delivery Order is in-scope to the terms of the Basic Contract for Design, manufacture, assembly, and test of components for V-22 production and/or prototype hardware or software, and associated data resulting from engineering changes and/or engineering studies performed on the V-22 series aircraft.

This action is being awarded on a sole source basis to ELBITAMERICA, INC. in accordance with the statutory authority permitting other than full and open competition under Title 10 U.S.C 3204(a)(1), as implemented by FAR Part 6.103-1, “Only one responsible source and no other supplies or services will satisfy agency requirements.” ELBITAMERICA, INC. is the Original Equipment Manufacturer (OEM) of the IAP.  The Government does not possess (or cannot provide) the data necessary to perform the required repairs of the items.  Consequently, ELBITAMERICA, Inc. is the only responsible source with the necessary access to the technical data and requisite expertise to perform the contemplated effort within the required schedule.

The proposed contract action is for supplies or services for which the Government intends to solicit and negotiate with only one source under authority of FAR 6.103. Interested persons may identify their interest and capability to respond to the requirement. This notice of intent is not a request for competitive proposals. However, any capability statements received by the close of the Presolicitation notice will be considered by the Government. A determination by the Government not to compete this proposed contract based upon responses to this notice is solely within the discretion of the Government. Information received will normally be considered solely for the purpose of determining whether to conduct a competitive procurement.
