The government is NOT bound by the terms and conditions agreed upon by the lodging/event facility, caterer and/or audio visual company and the contractor identified on the SF1449. With the exception of payment terms, any deviation from the performance requirement must be submitted as an alternative at the time quotes are submitted. The government may or may not accept the alternative term or condition; therefore, if a company is unable to accept an award unless the alternative is accepted it must be clearly annotated on the quote. Examples of such scenarios are provided below. 1. While the government is tax exempt, third party vendors are responsible for paying applicable taxes in accordance with their contractual agreements. A tax exemption form will not be provided by the government directly to the lodging/event facility, caterer, etc. should award be made to a third party vendor, nor will the government complete a tax exemption form on behalf of the third party vendor. Pricing should take this into consideration. 2. Payment is made to the vendor who is awarded a government contract. The government will make payment in accordance with the Prompt Payment Act after services have been received. Advance payment by the government is not authorized. The third party vendor is responsible for payment in accordance with their contractual agreement regardless of when payment is made by the government. For example, if the third party vendor's contractual agreement with the hotel is for a deposit of 20% ten days prior to the event, the third party is responsible for the deposit. The government will not make an advance payment to the contractor in order for the deposit to be made. 3. Final counts will be provided in accordance with award issued by the government. Should an agreement between a third party vendor and hotel, caterer, etc. include different cutoff dates for final counts, the government is not responsible for any differences, nor will the government attempt to estimate what the final count will be in advance. 4. During the event, the contractor shall have their own personnel on-site for coordination. Government personnel will not directly address or negotiate with suppliers/vendors as there is no privy of contract CLAUSES INCORPORATED BY FULL TEXT 52.203-18 PROHIBITION ON CONTRACTING WITH ENTITIES THAT REQUIRE CERTAIN INTERNAL CONFIDENTIALITY AGREEMENTS OR STATEMENTS--REPRESENTATION (JAN 2017) (a) Definition.
