Teaming Agreement
What is a teaming agreement?
A teaming agreement records how companies intend to cooperate on an opportunity. Contractor team arrangements can involve a partnership or joint venture acting as a potential prime. They can also involve a potential prime working with other companies as subcontractors. The structure and actual terms determine the parties' obligations.
Why it matters
A capture plan may depend on another company's staff, location, credentials, or relevant experience. Those dependencies need more than a verbal expression of interest. The team should know what each company will contribute during the pursuit and which commitments require further agreement before performance.
What to review
Identify the opportunity, intended roles, proposed scope, and proposal responsibilities. Record who supplies each input and when it is due. Clarify information handling, decision authority, and the intended relationship after award. Have the responsible contracts or legal owner review the agreement before the proposal relies on it.
Discuss changes as well as the initial plan. What happens if the solicitation changes, one party cannot supply the promised staff, or the team decides not to bid? The document should make those discussions concrete. Do not assume that its title resolves eligibility, exclusivity, workshare, or subcontract terms.
Worked example
An illustrative facilities contractor needs a partner to cover two remote sites. Before naming that partner in the response, the capture lead confirms its proposed responsibilities, relevant experience, staff availability, and proposal deliverables. The delivery team checks whether the combined plan covers every required location.
The parties then review the intended post-award arrangement with their responsible owners. A partner's willingness to help write the proposal does not automatically establish an awarded subcontract. If staffing remains uncertain, the team records it as an unresolved condition in the pursuit decision.
Common mistakes
Avoid promising a partner's resources before confirming the commitment. Do not treat a nondisclosure agreement as a complete teaming agreement. Keep the technical narrative, staffing plan, and pricing assumptions consistent with the arrangement. Recheck commitments when an amendment changes the work or submission date.
