The Small Business Administration (SBA) implemented an amendment to its Small Business Size Regulations effective June 21, 2004, requiring federal agencies to obtain a new small business certification when a contract held by a small business is novated to another entity due to a merger or acquisition. This rule specifically applies to novation and change-of-name agreements executed under FAR 42.12 starting December 21, 2004. The SBA delayed the effective date to avoid disrupting novation agreements that were already underway before the rule's applicability, issuing a technical correction that was published on July 30, 2004. This contract, titled "Small Business Administration - Small Business Recertification required for Novation and Change of Name Agreements" with solicitation reference number "Reference-Number-novation," was posted on January 19, 2005. It pertains to the NAICS code 926110 and involves oversight by the SBA’s Office of Size Standards, specifically managed by Program Analyst Carl G Jordan. The amendment ensures that ongoing contract novations comply with updated size certification rules to maintain proper classification of small business status following ownership changes, supporting regulatory compliance across federal contracting activities.

Full Description

The U.S. Small Business Administration (SBA) amended various provisions of its Small Business Size Regulations effective June 21, 2004. One amendment requires that a Federal Agency obtain a new small business certification for a contract held by a small business that is novated to another business as a result of a merger or acquisition. This requirement applies to all novation and change-of-name agreements executed pursuant to FAR 42.12 on or after December 21, 2004. SBA delayed applicability of this rule for novation and change of name agreements because some novations may have been in the progress of completion, but not yet completed when the amendments were applicable. SBA did not want the applicability date to hinder the progress of such agreements. SBA issued a technical correction modifying the applicability date for novation and change of name agreements to December 21, 2004. The technical correction was published in the Federal Register on July 30, 2004. Please see http://www.sba.gov/size/indexwhatsnew.html#part121novation for further information.

Administrative Lease Authorization and Regulatory Compliance SupportThe California State Lands Commission is authorizing an administrative lease for a 20-year general lease agreement to support public agency use of an existing pedestrian bridge that crosses sovereign lands. This action involves formalizing the long-term operational use of the structure while ensuring compliance with state regulatory frameworks, including a determination of eligibility for a CEQA categorical exemption to avoid full environmental review. The lease pertains specifically to infrastructure already in place and is intended to provide legal clarity and continuity for public access purposes without requiring new construction or substantial modification. The activity falls under NAICS code 926110, indicating it is a government administration function related to land and natural resource management. The project is centered in Red Bluff and is part of a broader effort to maintain public infrastructure on state-held lands while streamlining regulatory processes through established exemptions. The administrative action requires internal review and documentation to confirm that the lease meets statutory criteria for categorical exemption under CEQA, ensuring no significant environmental impact from continued use. No new solicitation or competitive bidding is involved, as the lease supports an existing facility under the jurisdiction of the California State Lands Commission. The contract serves as a procedural and regulatory support mechanism to sustain public access and uphold compliance with state land management policies over the 20-year term.
