AI Contract Overview
The United States Department of Agriculture, Agricultural Research Service, is procuring genome sequencing instrumentation, reagents, and associated support services from Element Biosciences under an Indefinite Delivery/Indefinite Quantity (IDIQ) contract with a base value of $7,250,000 and a total ceiling of $8,000,000, covering a five-year period from August 1, 2026, to July 31, 2031. This is a single-source acquisition conducted as a combined synopsis/solicitation under FAR Part 12 for commercial items, with no separate written solicitation issued; all responsive quotations received by the deadline of July 23, 2026, will be considered, though the government retains full discretion to proceed with or without competition. The North American Industry Classification System code is 334516, with a small business size standard of 1,000 employees, but the requirement is unrestricted and not set aside for any socioeconomic category. Deliverables include Aviti and Vitari DNA sequencers, consumables, and quarterly reporting on purchases, with inspections and acceptances occurring at the delivery destination under FOB terms. Pricing is governed by a quarterly-updated price list referenced in the contract, and all orders are executed under firm-fixed-price task or delivery orders. The contract includes strict safeguards to protect government interests, prohibiting suppliers from imposing automatic renewals, unilateral term changes, financial penalties for non-exercise of options, data exploitation, or AI training using government data, while ensuring the government retains full use, control, and ownership rights. Payment will be processed electronically through the Invoice Processing Platform, not WAWF, and administered by the USDA ARS office in Fort Collins, Colorado. The evaluation process will select the offeror providing best value based on price, technical acceptability, and past performance, using an adjectival rating system without numerical weighting, and the award will not be made on a lowest price technically acceptable basis. All contractual terms are subject to comprehensive clauses under FAR and AGAR governing commercial items, subcontracting, labor standards, cybersecurity, data security, and dispute resolution, including provisions that render non-contractual terms unenforceable against the government and explicitly prohibit the use of clickwrap or browsewrap agreements. The primary point of contact for the solicitation is Amber Sampson, with the Contracting Officer for the IDIQ vehicle being Nicole C. McKenzie and David De La Paz
