The contractual framework relies on Utah’s standard terms and conditions, incorporating applicable state laws, procurement rules, and specific clauses addressing governing law, compliance, confidentiality, anti-boycott measures, conflict of interest, and insurance requirements. Notably, no federal FAR clauses are incorporated; instead, the contract emphasizes state statutes and regulations, including anti-boycott and employment verification certifications. The agreement stipulates that all deliverables—such as investigation reports, design memos, bid packages, and GIS data—must be provided in specified digital formats, with no explicit packaging, preservation, or marking standards required. Payment procedures involve submission of invoices within 30 days of delivery, with payments made within 30 days thereafter, and the contract includes provisions for performance inspections, acceptance criteria at the destination, and liability for transportation until final acceptance. The contract also mandates strict compliance with confidentiality, security, and conflict of interest policies, requiring vendors to certify participation in employment verification systems and abstain from engaging in economic boycotts or providing restricted foreign products. The procurement process mandates a comprehensive Statement of Qualifications submission via the Utah Public Procurement Place portal by September 16, 2025, organized into specific sections, with no page limits but emphasizing clarity and relevance. Overall, the contract emphasizes technical excellence, regulatory compliance, and clear performance milestones, with detailed provisions governing amendments, dispute resolution, and confidentiality to ensure project success within the stipulated timeline.
