AI Contract Overview
Solicitation 2097168 is a request from the Dallas Area Rapid Transit Authority (DART) for the procurement of HVAC tube assemblies. The solicitation was posted on December 17, 2025, with a response deadline of January 23, 2026. All submissions must be completed electronically via the Bonfire BidTable portal. The scope of work requires the seller to provide supplies that strictly adhere to specified drawings, technical requirements, and manufacturer part numbers, ensuring all items are of merchantable quality and fit for their intended use. The contract is governed by DART's Purchase Order Terms and Conditions, which mandate FOB Destination shipping terms with all freight costs included in the bid price. Payment terms are Net 30 days from the later of the invoice receipt or the receipt of goods, with invoices submitted in triplicate to a designated email address. DART maintains tax-exempt status, and sellers are prohibited from including state or local sales taxes on invoices. Performance is critical, as failure to meet delivery schedules may result in termination for default. Special requirements include a mandatory certification that the seller and its affiliates do not boycott Israel and are not associated with foreign terrorist organizations. Additionally, sellers must comply with equal employment opportunity laws, make best efforts to utilize minority- and women-owned subcontractors, and warrant that no DART officials have a financial interest in the contract. Inspection and acceptance of all deliverables will occur at the destination in the state of Texas.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
