AI Contract Overview
The Dallas Area Rapid Transit Authority (DART) is soliciting bids for a 40A, 1000V fuse manufactured by Ferraz (Shawmut-Gould), identified by solicitation number 2099023, with responses due by May 8, 2026. This solicitation operates under DART’s proprietary Purchase Order Terms and Conditions, which dictate binding contractual obligations distinct from standard Federal Acquisition Regulation clauses. All bids must reflect FOB Destination terms, with freight costs included in the quoted price, as DART rejects FOB Origin or Prepay and Add arrangements. Delivery timelines are critical, and failure to meet specified times and rates constitutes grounds for immediate rejection and termination for default. The contract is governed by Texas law, with performance expected within the state, and invoice submissions must be sent in triplicate to [email hidden], including the purchase order number, item description, quantities, unit prices, and extended totals; payment is net 30 days from receipt of the invoice or order, whichever is later, and is contingent upon acceptance by DART. Contractors are required to provide formal certifications affirming they do not participate in any boycott of Israel nor maintain business relationships with entities listed as Foreign Terrorist Organizations by the Texas Comptroller. The agreement explicitly prohibits assignment without DART’s prior written consent and forbids any gratuities or pecuniary interests involving public officials. DART retains full authority to inspect and accept goods at the destination point, and such inspections do not absolve the seller of responsibility for compliance with manufacturer specifications, drawings, or merchantable quality standards. Termination for default may be invoked for nonperformance, with liability for reprocurement costs, while termination for convenience remains available at DART’s discretion. Although socioeconomic, size status, or UEI/CAGE code certifications are not required, equal opportunity and subcontractor clauses mandate non-discrimination in hiring and subcontracting. Technical specifications, pricing details, and delivery schedules are contained solely within the secure BidTable portal on Bonfire, accessible only after registration and initiation of the submission process, with no cost data or line-item details publicly disclosed.

--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
