AI Contract Overview
The Navajo Area Indian Health Service, through the Chinle Comprehensive Health Care Facility, intends to award a sole-source purchase order to Payton Merger Sub II, LLC DBA AudioCARE, an Artera Company, to upgrade its critical patient engagement server infrastructure. The contract focuses on migrating the existing appointment reminder and pharmacy refill system to a new virtual machine environment running Windows 10 LTSC to ensure continued Microsoft security support through 2029. The system is integral to patient care and relies on proprietary AudioCARE software integrated via HL7 interfaces with the Resource and Patient Management System, creating an unreplaceable dependency that justifies the non-competitive acquisition under FAR 6.302-1. The work includes remote installation, configuration, testing, and ongoing license and support services with strict adherence to HIPAA and the Privacy Act, and all data must remain physically located at the facility in Chinle, Arizona. The performance period is one year from award, and the NAICS code 513210 applies with a small business size standard of $47 million in average annual receipts. This procurement is issued as a Notice of Intent to Award with no competitive solicitation in place, and any response challenging the sole-source determination must provide clear and convincing evidence that competition would benefit the government. Responses must be submitted in writing by 5:00 p.m. MST on May 20, 2026, and must not include proprietary, classified, confidential, or sensitive information. The government is under no obligation to acknowledge receipt or provide feedback on submissions, and failure to receive a response by the deadline will result in the award being issued without further notice. While the contract value, payment details, invoicing method, and designated contracting officer representative are not specified in the notice, the technical requirements are mandatory and non-negotiable, including HL7 compliance, seamless system interoperability, and zero service interruption during transition. The absence of formal FAR clauses, packaging requirements, or evaluation weights reflects the nature of the procurement as a sole-source justification based on unique system dependencies rather than a competitive acquisition process.
