Notice of Intent to Sole Source to The MathWorks, Inc.

The Department of the Navy, Naval Information Warfare Center Pacific (NIWC Pacific), hereby publicizes its intent to negotiate and award a Firm-Fixed-Price modification to Contract N66001-26-P-6242 on a noncompetitive basis to The MathWorks, Inc. (CAGE 0C524), Natick, Massachusetts, pursuant to 10 U.S.C. 3204(a)(1), as implemented by FAR 6.103-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. The proposed modification will add two one-year option periods for the continued provision of MathWorks enterprise software licensing, maintenance, and associated training in support of NIWC Pacific. The requirement includes enterprise licenses for MATLAB and Simulink software, associated MATLAB and Simulink toolboxes, extended software maintenance, and related training. The contemplated option periods are as follows: Option Item 0002 Option Year 1 Enterprise Desktop Programs Manufacturer: The MathWorks, Inc. Quantity: 1 Period of Performance: 01 August 2027 31 July 2028 Option Item 0003 Option Year 2 Enterprise Desktop Programs Manufacturer: The MathWorks, Inc. Quantity: 1 Period of Performance: 01 August 2028 31 July 2029. The proposed modification will establish the two option periods and associated pricing but will not exercise either option or obligate funds for the option periods at this time. Any future exercise of an option will be accomplished separately in accordance with the terms of the contract and applicable acquisition requirements. Based on the Governments market research and technical requirements, The MathWorks, Inc. is the only responsible source capable of providing the required MATLAB and Simulink enterprise licensing, associated toolboxes, maintenance, technical support, and training necessary to satisfy NIWC Pacifics minimum requirements. Market research considered other mathematical and scientific computing products and open-source alternatives, including Mathematica, Maple, GNU Octave, Scilab, SciPy, R, and Python. However, the Government did not identify an alternative that provides the combination of functionality, application-specific engineering capabilities, MATLAB/Simulink interoperability, documentation, technical support, and compatibility with NIWC Pacifics existing MATLAB-based environment necessary to satisfy the Governments current minimum requirements. Accordingly, the Government intends to negotiate the contemplated modification on a sole-source basis with The MathWorks, Inc.A redacted copy of the approved Justification and Approval (JA) supporting the use of other than full and open competition is attached to this Notice of Intent. This Notice of Intent is not a request for competitive quotations, bids, or proposals. However, all responsible sources may submit a quotation, proposal, or capability statement demonstrating their ability to satisfy the Governments minimum requirements. Any timely response received will be considered by the Government in determining whether another responsible source is capable of satisfying the Governments minimum requirements. This is consistent with the approved JA, which provides for publication through the Governmentwide Point of Entry and evaluation of timely capability information received from interested sources. A determination by the Government whether to compete the contemplated contract action based upon responses to this notice is solely within the discretion of the Government.
