AI Contract Overview
Dallas Area Rapid Transit (DART) has issued solicitation 2097649 for the procurement of new Amerex 5lb ABC fire extinguishers. This solicitation requires vendors to submit responses electronically via the Bonfire portal by January 27, 2026. The scope of work mandates that all supplies meet merchantable quality and fitness for intended use, with strict adherence to technical specifications and commercial warranties. Evaluation for award is expected to focus on price, delivery timelines, and compliance with specifications, likely following a lowest price technically acceptable approach. The contract is governed by the laws of the State of Texas with venue in Dallas County. Key logistical requirements include FOB Destination shipping terms, meaning freight costs must be included in the overall price. Timely delivery is considered of the essence, and failure to meet specified rates may result in rejection or termination for default. Payment terms are Net 30, with invoices required in triplicate and submitted to [email hidden] containing specific purchase order and itemized details. Vendors must comply with several special certifications, including an anti-boycott of Israel certification, an anti-corruption warranty regarding public officials, and a commitment to equal opportunity in employment and subcontracting. The agreement allows the Contracting Officer to terminate the order for default or convenience, with the seller remaining liable for reprocurement costs in the event of a default.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
