AI Contract Overview
The Dallas Area Rapid Transit Authority is soliciting bids for the supply of a left-hand, transverse seat designed for two passengers without stanchion connections, identified by procurement number 2099151. The solicitation, posted on May 5, 2026, with a response deadline of May 26, 2026, requires all submissions to be made electronically through the Bonfire portal, where vendors must initiate the “Prepare Your Submission” process to access the BidTable containing detailed vendor response fields. All bids must reflect FOB Destination shipping terms, with freight costs included in the quoted price; DART does not accept FOB Origin or Prepay and Add arrangements. Time and rate of delivery are critical, and failure to meet the specified delivery schedule is grounds for immediate rejection and default termination. Payment terms are strictly Net 30, with invoices to be submitted in triplicate via email to [email hidden], one marked “Original,” and including purchase order number, item details, quantities, unit prices, and extended totals. Payment will be calculated from the later of invoice receipt or order receipt, unless otherwise agreed in writing. The contract imposes several mandatory compliance clauses, including a binding certification that the vendor does not participate in any boycott of Israel and is not listed on the Texas Comptroller’s Foreign Terrorist Organizations list. The vendor must also certify that no public official has a financial interest in the contract and that no gratuities have been offered to secure favorable treatment. Equal opportunity principles apply to all employment and subcontracting activities, requiring the inclusion of minority- and women-owned businesses. Inspection and acceptance occur at the destination, where goods must conform to the technical specifications, be of merchantable quality, and carry the most favorable commercial warranty offered by the vendor. Delivery performance, adherence to legal and regulatory requirements, and compliance with pricing and invoicing requirements form the primary basis for award, though no formal evaluation weights or award methodology are explicitly stated. The contract is structured as a firm-fixed-price purchase order, with no mention of small business set-asides, UEI or CAGE code requirements, or federal accounting codes. DART retains full authority to terminate for default or convenience, and the vendor assumes liability for reprocurement costs if termination for default occurs, unless the failure is beyond their control, fault, or negligence.

Full Description
--- **PURCHASE ORDER TERMS AND CONDITIONS** -- All purchase orders are subject to Dallas Area Rapid Transit Authority's Terms and Conditions. The complete PO Terms and Conditions PDF is available for download in the "Supporting Documentation" section below.
**Freight Terms Notice -** Please ensure that all bids/quotes reflect FOB Destination shipping terms with the freight cost included in the overall price. DART does not typically accept FOB Origin or Prepay and Add terms.
**Delivery Terms Notice -** Time and rate of deliveries are of the essence of this order. Seller's failure to deliver at the time and rate specified shall be the basis for rejection and default termination by the Authority (*Dallas Area Rapid Transit Authority*).
**Payment Terms Notice -** All vendors are advised that DART's payment terms are Net 30. Invoices shall be submitted (contact@example.gov) in triplicate (one copy shall be marked 'Original"), unless otherwise specified, and shall contain the following information: purchase order number; item number; purchase order description of supplies, services, or construction; sizes; quantities; unit prices; and extended totals. Unless otherwise specified, payment will be made on partial deliveries accepted by the Authority when the amount due on such deliveries so warrants. *Invoices will be paid 30 days from receipt of the invoice or 30 days from receipt of the order, whichever is later, unless other payment terms have been agreed upon in writing.*
**Termination for Default Notice -** The Contracting Officer may by written notice terminate this order, in whole or in part, for failure of the Seller to perform any of the provisions hereof within the time periods specified. In such event, the Seller shall be liable for damages, including the excess cost of reprocuring similar supplies or services or completing construction; provided that, if (i) it is determined for any reason that the Seller was not in default, or (ii) the Seller's failure to perform is without his and his subcontractor's control, fault, or negligence, the termination shall be deemed to be a termination for convenience under paragraph 12. As used in this provision, the term "subcontractor" and "subcontractors" means subcontractors, vendors, and suppliers at any level.
