The Department of Veterans Affairs, through the Veterans Health Administration Network Contracting Office 12, intends to award a sole source Firm-Fixed Price contract to Imagine Milling Technologies Inc for the renewal of twenty-one GmbH Dental Exoplan/Exocad software licenses. This procurement is justified under Revolutionary FAR Overhaul 12.102(a) because the vendor previously configured the existing software and integrated hardware environment. Utilizing a different source would result in substantial duplication of costs and cause unacceptable operational disruptions to the digital dentistry and 3-D printing services at the Clement J. Zablocki Veterans Affairs Medical Center and the Milo C. Huempfner VA Health Care Center. The contract covers a sixty-month period of performance from December 31, 2026, through December 30, 2031. Classified under NAICS code 513210 for Software Publishers and Product Service Code 6515 for Medical/Surgical Instruments, the requirement ensures the continuity of mission-critical dental laboratory operations. While this is a notice of intent to sole source and not a request for competitive quotes, interested firms may submit their capabilities to Contracting Officer Arneil Genus via email by November 5, 2026.

NOTICE OF INTENT TO AWARD SOLE SOURCE.  THIS IS NOT A REQUEST FOR COMPETITIVE QUOTES. This is a notice of intent to solicit and award a sole source contract set forth in accordance with the Revolutionary FAR Overhaul (RFO) 12.102(a), Restricting competition.

The Department of Veteran Affairs, Veterans Health Administration, Network Contracting Office 12 (NCO-12) Great Lakes Acquisition Center, intends to negotiate a sole source Firm-Fixed Price to Imagine Milling Technologies Inc: 607 S Euclid St, Fullerton, CA, 92832 IAW Federal Acquisition Regulation/Revolutionary FAR Overhaul 12.102. This is for procurement of the GmbH Dental Exoplan/Exocad System for the Dental Department located at Clement J. Zablocki Veterans Affairs Medical Center: 5000 West National Avenue, Milwaukee, WI 53295-0001. The North American Industry Classification System (NAICS) for this requirement is: 513210- Software Publishers. The Product of Service Code for this requirement is: 6515 -Medical/Surgical Instruments, equipment and supplies. The Small Business Administration (SBA) size standard for this sector is: $47.0 million.

Sole Source Justification of GmbH Dental Exoplan/Exocad System

Rationale:

Pursuant to RFO 12.102(a), there is “only one source reasonably available” to provide the requested end-product under this acquisition.

Background

The Milwaukee VA Medical Center (VAMC) Dental Laboratory requires the renewal of twenty-one (21) Exocad/Exoplan software licenses for a sixty (60)-month period covering December 31, 2026, through December 30, 2031. These licenses support the Dental Laboratory's digital dentistry and 3-D printing operations at both the Milwaukee VAMC and the Milo C. Huempfner VA Health Care Center.

Justifications:

Pursuant to RFO 12.102(a), there is only one source reasonably available to provide the required end-product under this acquisition. Award to Imagine Milling Technologies, Inc is justified on a sole source basis because the vendor previously supplied and configured the existing GmbH Exocad/Exoplan software licenses, as well as the associated computers, monitors, scanners, and related equipment currently utilized by the Dental Laboratory. The existing hardware and software environment operates as an integrated system specifically configured to function with the currently licensed GmbH Exocad/Exoplan platform. Obtaining software licenses through a different vendor would create substantial duplication of cost to the Government that is not expected to be recovered through competition. A different source would likely require the acquisition of new licenses and potentially additional compatible hardware, resulting in significant unnecessary expense. Furthermore, the Government has already invested in the current scanners, computers, monitors, and associated equipment that were purchased to operate with the existing software configuration. Failure to renew the current licenses would render portions of the existing equipment unusable for their intended purpose, resulting in wasted Government resources and the premature replacement of otherwise functional assets. Additionally, transitioning to an alternate solution would create operational disruptions to the Milwaukee VAMC Dental Laboratory's workflow and could negatively impact the production of patient-specific dental appliances produced through the laboratory's 3-D printing process. Any lapse in licensing or interruption in software functionality would jeopardize the Dental Laboratory's ability to continue providing essential services and could result in a shutdown of critical digital design and manufacturing operations. Renewal of the existing GmbH Dental Software licenses through Imagine Milling Technologies, Inc ensures continuity of operations, maintains compatibility with the current equipment infrastructure, protects the Government's prior investment, and prevents unnecessary costs associated with replacing functional hardware and software systems. The renewal will provide uninterrupted access to the GmbH Dental Exocad/Exoplan platform through 2031 and enable continued support of dental laboratory services at both facilities.

For these reasons, Imagine Milling Technologies, Inc. is the only source capable of providing the required renewal services without substantial duplication of cost to the Government and unacceptable disruption to agency operations. No other product can meet the Dental Department’s operational and clinical requirements. Procuring any system other than the GmbH Dental Exocad/Exoplan software licenses system would introduce unacceptable clinical risk and negatively impact patient care. Award to Imagine Milling Technologies, Inc. is in the best interest of the Government because it ensures continued compatibility with the existing dental laboratory infrastructure, avoids substantial additional costs, prevents waste of Government-owned equipment, and maintains uninterrupted mission-critical dental laboratory operations.

This announcement is being issued for information purposes only and does not constitute a solicitation or request for competitive proposals. If a firm believes it is capable of meeting the Government's requirement and capable of providing an authorized letter to perform supply/services on this end-product, it may identify their interest and capability to the Contracting Officer within five (5) calendar days of this publication by contacting the Contracting Officer, Arneil Genus via email only at contact@example.gov. Telephone inquiries will not be accepted. Respondents who submit proprietary data shall clearly mark the data with appropriate markings. Those interested firms must indicate whether they are large, small, small-disadvantaged, 8(a) or woman owned business and whether they are U.S. or foreign owned.

The Government will not pay for any information submitted as a result of this announcement. This special notice shall not be construed as an obligation on the part of the Government to acquire any products or services. Responses are due no later than Thurday, Nov. 5, 2026 at 1:00 PM Central Standard Time. Responses received will be evaluated; however, a determination by the Government not to compete the proposed procurement based upon responses received to this notice is solely within the discretion of the Government. If no written response is received within the closing date of this notice, a sole source award will be made to Imagine Milling Technologies, Inc. without any further notice.
